1. Definitions
Client: Any individual or entity engaging Digital Hub Services LLC for consulting, digital solutions, website development, or business growth services.
Digital Hub Services LLC: The service provider offering business consulting, digital development, strategic advisory, and opportunity development services.
Project: The specific scope of work mutually agreed upon by the Client and Digital Hub Services LLC, as outlined in a proposal, service agreement, or statement of work.
Deliverables: All materials, outputs, or results produced by Digital Hub Services LLC in connection with the Project, including but not limited to reports, strategies, digital assets, documentation, recommendations, or introductions.
2. Engagement of Services
2.1. The Client agrees to retain Digital Hub Services LLC to perform the services described in the approved proposal or executed service agreement.
2.2. Digital Hub Services LLC shall perform all services with commercially reasonable skill, care, and diligence, and will make good-faith efforts to meet agreed timelines where practicable.
3. Payment Terms
3.1. Fees and payment schedules shall be governed by the terms set forth in the signed proposal or service agreement.
3.2. Digital Hub Services LLC may require advance payments, deposits, or milestone-based payments as specified in the applicable agreement.
3.3. Any modification to the Project scope or request for additional services may require a revised fee estimate and a separate written agreement.
4. Project Timeline
4.1. Estimated timelines will be provided for the completion of services; however, schedules may be adjusted due to unforeseen circumstances, third-party dependencies, or Client-related delays.
5. Revisions and Feedback
5.1. The Client may request revisions in accordance with the revision limits defined in the original proposal. Requests outside the agreed scope may result in additional charges.
6. Ownership and Intellectual Property
6.1. Upon receipt of full payment, the Client shall own the final Deliverables, excluding any proprietary software, frameworks, tools, templates, or methodologies owned by Digital Hub Services LLC.
6.2. Digital Hub Services LLC retains the right to reference non-confidential aspects of the Project for portfolio, marketing, or promotional purposes unless expressly restricted by written agreement.
7. Confidentiality
7.1. Both parties agree to maintain the confidentiality of all non-public, proprietary, or sensitive information disclosed during the engagement.
7.2. Digital Hub Services LLC shall not disclose the Client’s confidential information without prior written consent, except as required by law.
8. Termination
8.1. Either party may terminate the engagement upon written notice. The Client agrees to pay for all services rendered up to the effective termination date, including any non-refundable fees specified in the agreement.
8.2. Upon termination, Digital Hub Services LLC shall deliver all completed Deliverables to date, and all remaining services shall cease.
9. Limitation of Liability and Indemnification
9.1. Digital Hub Services LLC shall not be held liable for any direct, indirect, incidental, or consequential damages arising from the use or implementation of its Deliverables, recommendations, or services.
9.2. The Client agrees to indemnify, defend, and hold harmless Digital Hub Services LLC from any claims, liabilities, losses, or damages resulting from the Client’s use of the Deliverables or reliance on provided guidance.
10. Governing Law
10.1. These terms shall be governed by and construed in accordance with the laws of the United States. Any disputes shall be subject to the exclusive jurisdiction of courts located within the United States.
